easyhome yesterday mailed a
takeover bid to shareholders of Insta-Rent Inc. in connection
with easyhome's previously announced offer to acquire the
company for $10 million (see
story).
Insta-Rent has annual revenues of approximately $18
million.
Insta-Rent's Board of Directors states in the mailing that the
offer is "fair and in the best interests of Insta-Rent and
holders of Insta-Rent shares." Insta-Rent's Board unanimously
recommends acceptance of easyhome's offer.
The offer represents a premium of 43% based on the closing price
of the Insta-Rent shares on August 12, 2008, the last full
trading day prior to the announcement of the intention to make
the Offer, and a premium of approximately 142% to the volume
weighted average trading price for the 20 previous days ending
August 12, 2008.
With 233 stores, easyhome is Canada's largest rental-purchase
company.
Insta-Rent has 44 RTO kiosks located in the Brick stores, as
well as 6 stand-alone locations.
easyhome officials have said they anticipate closing 4 free
standing stores. There is a great deal of overlap in areas
served by the two companies - 70% of the Insta-Rent locations are within
3.7 miles of an existing easyhome
store.
